As used on this Site, “Marketplace” refers to a technology bulletin-board which requires a login. All posted loans and securities offered by a seller are represented by Alphaledger Markets. The parties involved with the transaction contemplated on this Site, certify they are accredited investors, as such term is defined in Rule 501 of Regulation D of the Securities Act of 1933. This Site is offered and available to users who are 13 years of age or older. By using this Site, you represent and warrant that you meet this age requirement. If you do not meet this requirement, you must not access or use the Site.

Governing Law and Jurisdiction

The interpretation and enforcement of these Terms of Use shall be governed by the laws of the State of California (without giving effect to the conflict of law principles thereof). Any action arising from or in connection with these Terms of Use or your access to or use of the Site shall be brought and litigated exclusively in the appropriate federal or state courts of competent jurisdiction located in Los Angeles County, California and you hereby irrevocably consent and submit to the personal jurisdiction, and waive in advance any objection to, such jurisdiction and venue.

Arbitration

At Alphaledger’s sole discretion, we may require you to submit any disputes arising from the use of these Terms of Use or the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association.

Waiver and Severability

No delay or failure of Alphaledger to exercise any right or require compliance with any provision of these Terms of Use shall be deemed a waiver of such right or provision. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use, Legal and Regulatory Center, and Privacy Policy constitute the sole and entire agreement between you and Alphaledger regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
